These Terms of Service (Terms) govern your use of TradesOps.uk (TradesOps, the Service), operated by Gareth Williams t/a TradesOps.uk (we, us, our) with a place of business at TradesOps, 5 Barcote Close, Swindon SN25 2BH. By signing up for or using the Service you (the Trader, you) agree to these Terms. If you do not agree, do not use the Service.
1. About the Service
TradesOps is a software-as-a-service tool for UK tradespeople. It captures customer enquiries, drafts customer communications, drafts quotes from your site-visit notes, supports booking of quote visits and job dates, and raises stage invoices. The Service uses artificial intelligence to draft content; every customer-facing message is drafted for you and only sent once you approve it.
The Service is provided as software. It does not provide legal, tax, regulatory, health-and-safety or trade advice. You remain solely responsible for the accuracy, legality and suitability of the quotes, invoices and communications you send to your customers.
2. Eligibility and accounts
- You must be at least 18 years old and either a sole trader or authorised to bind a limited company or partnership operating in the United Kingdom.
- You are responsible for keeping your sign-in credentials secure and for all activity under your account.
- You must give us accurate information when you create your account and keep it up to date.
3. Subscription, trial and billing
3.1 Subscription
The Service is offered on a monthly rolling subscription at £9.99 per month (the Fee). All Fees are exclusive of VAT which will be added where applicable.
3.2 Free trial
New Traders receive a 30-day free trial with no payment card required. The free trial ends automatically after 30 days. If you have not started a paid subscription by the end of the trial, your account will move into a read-only state until you either subscribe or delete it.
3.3 Payments
Payments are collected by Stripe on our behalf. By starting a paid subscription you authorise us to charge your payment method for the Fee each month in advance until you cancel. If a payment fails we will retry in accordance with Stripe’s standard dunning cycle and may suspend the Service while the payment is outstanding.
3.4 Cancellation and refunds
You can cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing month; you keep access until then. Except where required by law, monthly Fees are non-refundable.
3.5 Changes to Fees
We may change the Fee for future billing months on at least 30 days’ notice by email. If you do not accept the change you can cancel before it takes effect.
4. Your responsibilities as a Trader
- You are the data controller for your own customers’ personal data. You must have a lawful basis to collect that data and to instruct TradesOps to process it on your behalf. See the Data Processing Addendum for the processor terms that apply.
- You are responsible for the accuracy of every quote, invoice and message that you approve for sending to a customer. The Service drafts content for you, but you make the final call.
- You must ensure your customers receive any information required by the Consumer Contracts Regulations 2013 (or any successor legislation), including any statutory cancellation rights.
- You must not use the Service to send unsolicited marketing communications in breach of the Privacy and Electronic Communications Regulations 2003 (PECR).
5. Acceptable use
You must not, and must not permit anyone else to:
- use the Service for any unlawful, fraudulent or misleading purpose;
- use the Service to send spam, phishing, harassment, or content that is defamatory, obscene, or infringes another person’s rights;
- attempt to reverse-engineer, decompile, or extract the source code of the Service (except to the extent permitted by law);
- probe, scan, or test the vulnerability of the Service or attempt to bypass its authentication, rate limits or usage controls;
- use the Service to build a competing product, or to train a machine-learning model, without our prior written consent;
- use the Service to process categories of data we have not designed it to handle, including special-category data under UK GDPR (health, racial or ethnic origin, political opinions, religious beliefs, biometric or genetic data, or criminal convictions), payment-card numbers, or banking credentials.
We may suspend or terminate your account without notice if we reasonably believe you are in material breach of this clause.
6. AI-drafted content
The Service uses third-party large language models (currently Anthropic Claude) to draft enquiries, quotes, and other customer-facing content from information you provide. AI drafts can contain errors and are provided for your review. You must review every draft before approving it for sending. We are not liable for content you approve.
7. Intellectual property
We own all right, title and interest in the Service, the TradesOps.uk brand, and all related intellectual property. You own the content you put into the Service (business profile, notes, uploaded materials) and any output the Service generates for you from that content. You grant us a non-exclusive licence to use that content for the sole purpose of providing the Service to you.
8. Third-party services
The Service integrates with third-party providers (including Anthropic, Stripe, Supabase, Resend, Vercel, Cloudflare, and Telegram). Your use of those providers via the Service is subject to their own terms and privacy notices. We are not responsible for the acts or omissions of those providers.
9. Service availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may schedule downtime for maintenance and will give reasonable notice where practicable. We are not liable for delays or failures caused by events outside our reasonable control, including third-party provider outages.
10. Warranties and disclaimers
Except as expressly stated in these Terms, the Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all implied warranties and conditions, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence or fraud.
11. Limitation of liability
Subject to clause 10:
- neither party is liable for indirect or consequential loss, or for loss of profits, revenue, business, contracts, goodwill, or data;
- our total aggregate liability arising out of or in connection with these Terms is limited to the total Fees paid by you to us in the 12 months preceding the event giving rise to the claim;
- if you have paid no Fees at the time of the claim, our aggregate liability is limited to £100.
12. Indemnity
You will indemnify us against all losses, damages and reasonable costs (including legal fees) arising from any third-party claim that your use of the Service, or the content you put into or send from the Service, infringes any right or breaches any law.
13. Suspension and termination
- You can terminate your account at any time from your dashboard.
- We may terminate or suspend your account on 30 days’ notice for any reason, or without notice if you materially breach these Terms.
- On termination we will retain your data for 30 days to allow export, then delete it in line with our Privacy Notice and the Data Processing Addendum.
14. Changes to these Terms
We may change these Terms from time to time. If we make a material change we will give you at least 30 days’ notice by email. Continued use of the Service after that date means you accept the change.
15. Governing law and jurisdiction
These Terms are governed by the laws of England & Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England & Wales.
